IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO DIONS IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Dions and you. Some states do not allow the limitation of certain types of damages, so some of the above limitations may not apply to you. In such cases, our liability is limited to the fullest extent permitted by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Dions and its respective officers, directors, employees, agents, affiliates, licensors, service providers, successors, and assigns from and against any and all claims, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

13. Dispute Resolution

13.1 Informal Resolution

We will make good-faith efforts to resolve any complaints or disputes within thirty (30) days of receiving your written notice describing the nature of the dispute and the relief you are seeking.

13.2 Binding Arbitration

If an informal resolution cannot be reached within the thirty (30) day period, any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be resolved by binding arbitration administered by a recognized arbitration organization in accordance with its applicable rules. The arbitration shall be conducted in the United States, and the arbitrator's decision shall be final and binding on both parties.

The arbitration shall be conducted on an individual basis. You agree that you may not bring any claim as a plaintiff or class member in any purported class or representative action or proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.
